1. Purpose and Acceptance

1.1 These Terms of Use ("Terms") govern your access to and use of:

  • (i) the website markovlabs.xyz

  • (ii) the documentation hosted at docs.markovlabs.xyz (the "Documentation")

  • (iii) any vault, interface, dashboard, or tool operated or made available by Markov Labs

(together, the "Services")

1.2 Markov Labs is operated by Markov Lab, a French simplified joint-stock company (société par actions simplifiée — SAS) registered in France ("Markov Labs", "we", "us", or "our").

1.3 By accessing or using the Services, you confirm that you have read, understood, and accepted these Terms. If you do not agree, do not use the Services.


2. Description of Services

2.1 Markov Labs is a DeFi vault curator. We design, configure, and manage vaults on third-party decentralized lending protocols (including, but not limited to, Morpho, Euler, and Fira). Our services include:

  • Market research and collateral qualification

  • Vault parameter selection and configuration

  • Ongoing monitoring, rebalancing, and risk management

  • Publication of research and documentation

2.2 Non-custodial. Markov Labs does not hold, custody, or control your digital assets at any time. All interactions with vaults occur through smart contracts deployed on public blockchains. You retain exclusive control of your private keys and wallet.

2.3 No direct relationship with depositors. Users who deposit assets into vaults curated by Markov Labs interact directly with the underlying protocol's smart contracts. Markov Labs is not a party to any deposit, withdrawal, or lending transaction. Your rights as a depositor are governed by the terms of the underlying protocol.

2.4 Protocol independence. Markov Labs does not control, operate, or guarantee the availability, security, or performance of any blockchain network, protocol, oracle, bridge, or third-party smart contract.


3. No Financial Advice

3.1 Nothing in the Services constitutes financial, investment, legal, tax, or accounting advice, nor any personalized recommendation.

3.2 You are solely responsible for evaluating whether any vault, strategy, or digital asset is appropriate for your situation.

3.3 Past performance, projected yields, or displayed metrics (APY, TVL, utilization rates, etc.) are indicative only and do not guarantee future results.


4. Eligibility and Restricted Jurisdictions

4.1 You represent that you are of legal age and have the legal capacity to enter into these Terms.

4.2 You represent that you are not:

  • Located in, resident of, or acting on behalf of a person or entity in a Restricted Jurisdiction

  • Subject to economic sanctions imposed by the European Union, the United Nations, the United States (OFAC), or the United Kingdom

4.3 Restricted Jurisdictions include: Afghanistan, Belarus, Cuba, Iran, Iraq, Libya, North Korea, Russia, Somalia, Sudan, Syria, and any other jurisdiction subject to comprehensive sanctions.

4.4 Attempts to circumvent geographic restrictions (via VPN, proxy, or other means) constitute a breach of these Terms.


5. Assumption of Risk

5.1 DeFi protocols and digital assets involve significant risks including, without limitation:

  • Smart contract vulnerabilities and exploits

  • Oracle failures or manipulation

  • Liquidation of positions

  • Loss of peg or value of underlying assets

  • Regulatory changes

  • Network congestion, downtime, or forks

5.2 By using the Services, you acknowledge and accept these risks. Markov Labs cannot eliminate or fully mitigate these risks.

5.3 You should review the Disclaimer for additional risk disclosures.


6. Fees

6.1 Network fees. You are responsible for all blockchain transaction fees (gas). These fees are non-refundable and not controlled by Markov Labs.

6.2 Protocol fees. Vaults may include performance fees, management fees, or other fees set at the protocol level. Fee structures are defined on-chain and are visible before any transaction.

6.3 Markov Labs may receive compensation from protocols for its curation services. This does not create any obligation toward individual users.


7. User Obligations

You agree to:

  • 7.1 Secure your private keys, seed phrases, and devices

  • 7.2 Verify all transaction details (addresses, amounts, networks) before signing

  • 7.3 Not use the Services for any illegal activity, including money laundering, terrorist financing, or fraud

  • 7.4 Not attempt to exploit, attack, reverse-engineer, or interfere with the Services or any connected smart contract

  • 7.5 Comply with all laws and regulations applicable to you


8. Third-Party Dependencies

8.1 The Services rely on third-party infrastructure (blockchain networks, RPCs, oracles, protocol smart contracts, wallet providers, analytics tools).

8.2 These third parties operate independently and have their own terms. Markov Labs is not responsible for their availability, accuracy, or security.


9. Intellectual Property

9.1 The Documentation, brand assets, research publications, and interface designs are the property of Markov Labs or its licensors.

9.2 You are granted a limited, non-exclusive, revocable license to access and use the Services for personal, non-commercial purposes in accordance with these Terms.

9.3 Underlying protocol smart contracts may be open-source under their own licenses.


10. Disclaimer of Warranties

10.1 The Services are provided "as is" and "as available", without warranty of any kind, express or implied.

10.2 Markov Labs makes no representations or warranties regarding uptime, error-free operation, security, solvency, liquidity, or returns.


11. Limitation of Liability

11.1 To the maximum extent permitted by applicable law, Markov Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or digital assets.

11.2 Markov Labs' total aggregate liability for any claim arising under these Terms shall not exceed one thousand euros (€1,000).

11.3 Nothing in these Terms excludes liability that cannot be excluded under French law (including liability for fraud or gross negligence).


12. Indemnification

You agree to indemnify and hold harmless Markov Labs, its officers, directors, and agents from any claim, liability, or expense arising from:

  • (i) your breach of these Terms

  • (ii) your use of the Services

  • (iii) your violation of applicable law or the rights of any third party


13. Suspension and Termination

13.1 You may stop using the Services at any time.

13.2 Markov Labs may suspend or restrict access to the Services at any time, without notice, including for sanctions compliance, security incidents, or legal obligations.

13.3 Sections 3, 5, 10, 11, 12, and 14 survive termination.


14. Governing Law and Dispute Resolution

14.1 These Terms are governed by and construed in accordance with French law.

14.2 Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the competent courts of Paris, France.

14.3 For EU consumers: you may also use the European Online Dispute Resolution platform (ec.europa.eu/consumers/odr).


15. Amendments

Markov Labs may update these Terms at any time. The current version will be published on the Documentation site with an updated version date. Continued use of the Services after publication constitutes acceptance of the revised Terms.
